Class I Full Benefits Plan Summary

MEDICAL
Your options under a comprehensive health insurance plan include a Preferred Provider Option (PPO) underwritten by UniCare Life and Health Insurance Company. This arrangement eliminates gatekeepers and primary care physicians as well as any requirement for referrals required under EPO and HMO arrangements, providing our employees with unrestricted, self-directed access to the healthcare they need through providers of their choice. There is a per office visit co-payment of $25 for in network providers and $35 for in network specialists. Annual deductibles range from zero under the Preferred Option Plan (POP) to $100 in and $500 out of network under the High Option Plan (HOP). Prescription drug coverage is provided under both plans with co-payments of $10/$15/$20. There is also a per-hospitalization deductible of $100 under the POP and $250 under the HOP. The primary difference between these two plan options is that the POP is designed for employees electing to exclusively use in-network providers and the HOP is designed to provide an employee with the flexibility to utilize both in and out of network providers.

DENTAL AND VISION
You are eligible for coverage under a comprehensive dental and vision plan provided through Reliance Standard Life Insurance Company through their alliance with Ameritis and VSP. Under the dental plan, coverage is provided for preventive services at 100% with no deductible; basic services at 80%; and major services at 50% after an annual deductible of $50 ($150 family). Orthodontia (Adult and Child) is covered at 50% with a lifetime maximum of $1,500. Under the Vision plan, lenses, frames and exams, and medically necessary contact lenses are covered at 100% if purchased through a network provider. Elective contact lenses covered to a maximum of $105. Exams paid at 100% after $10 co-pay. Payment for exams, lenses, and frames are limited to one every 12 months. Your contribution for Dental and Vision Insurance is included in the per pay period deductions for Health and Prescription Insurance.

LIFE AND ACCIDENTAL DEATH & DISABILITY INSURANCE
GeoLogics provides, at no cost to you, group life insurance coverage equal to two-times your annual salary up to a maximum of $500,000. In addition, you may buy, through after-tax payroll deductions, voluntary additional term insurance in $10,000 increments for yourself and your spouse, and up to $10,000 for dependent child(ren); the first $50,000 in employee coverage does not require evidence of good health if purchased within 30 days of employment. AD&D insurance covers either 100% or 50% of the Group Life Insurance amount, depending on the loss.Coverage is provided through Reliance Standard Life Insurance Company.

DISABILITY INCOME INSURANCE
Short Term Disability - GeoLogics provides, at no cost to you, short-term disability at 60% of base salary up to a maximum of $1,667 per week (resulting in a maximum weekly benefit of $1,000). Benefits for a covered accident or hospitalization begin on the first day of disability. Benefits for a covered illness beginning after the satisfaction of a 14 day waiting period. Short-term disability benefits are subject to a maximum duration of thirteen (13) weeks. Coverage is provided through Reliance Standard Life Insurance Company.

Long Term Disability - GeoLogics provides, at no cost to you, Class 1 employees are covered by long-term disability at 66% of base salary up to a maximum of $16,667 per month (resulting in a maximum monthly benefit of $10,000). Benefits for a covered disability begin after the satisfaction of a ninety (90) day elimination period and can continue until the employee recovers from their disability or reaches age 65, whichever first occurs. Coverage is provided through Reliance Standard Life Insurance Company.

LONG TERM CARE INSURANCE
You have the option of enrolling in the Voluntary Long Term Care Program endorsed by GeoLogics Corporation and underwritten by the Prudential Insurance Company of America within 45 days of employment, without providing evidence of insurability. This valuable group program provides comprehensive benefits including reimbursement or cash benefit payments in the event that you are unable to perform 3 or more activities of daily living as defined in the policy. This program with the same comprehensive benefits and group rates and is also available to your eligible dependents and family members on a medically underwritten basis.

FLEXIBLE SPENDING ACCOUNTS (FSA)
You may elect to have pre-tax payroll deductions placed in a FSA to reimburse up to $5,200 in uninsured medical and health-related expenses and up to $5,000 in child and/or dependent day care expenses. Additionally, employee transportation and parking expenses can also be reimbursed through the FSA.

PAID TIME OFF BANK
Employees accrue paid time off based on their length of their GeoLogics employment. You begin accrueing on day one of your career with GeoLogics. You can use "paid time off" for holidays, vacation, sick days, and personal time. New employees accrue 25 days per year. After three years you accrue 28 days, after six years you accrue 31 days, and after ten years you accrue 35 days a year. Employees accrue paid time off based on hours of service until they reach their length of service ceiling, at which time accrual stops. Military leave, bereavement, and jury duty are separate leave categories.

RETIREMENT 401(k) PLAN
We offer a 401(k) plan. You can participate in a qualified 401(k) plan administered by Wachovia Retirement Services. Participants can contribute (through payroll deduction) up to the IRS permitted maximum annual deferral on both a pre-tax and post tax basis into funds from a variety of financial institutions. Enrollment eligibility begins after the first pay period. The Company provides a 401(k) match of 50% of the first 4% contributed by an eligible employee to an annual maximum of $1,400. The vesting is based on a six year graded schedule. To be eligible for the matching funds the employee must work a minimum of 1,000 hours and be employed on December 31 of the year in which the matching funds were accrued.

BUSINESS TRAVEL INSURANCE
GeoLogics offers employees who are traveling on official company business $100,000 in converge for accidental death and dismemberment. In addition to protection against travel related accidental death and dismemberment, you also have access to WorldNet Assist which provides a comprehensive range of emergency assistance services for the employee and their dependents while they are traveling more than 100 miles from home - whether their travel is for business or personal reasons. Services provided by the WorldNet Assist Program include: Locating medical care; Medical insurance assistance; Emergency evacuation; Medically necessary repatriation; Transportation for family member/friend; Repatriation of remains; Hotel convalescence arrangements; Prescription drug assistance; Vehicle return. Coverage is provided through Reliance Standard Life Insurance Company.

EMPLOYEE ASSISTANCE PROGRAM (EAP)
Class 1 employees are enrolled in a comprehensive EAP designed to assist each them with balancing work and life issues ranging from financial, legal, employment, dependent, daycare, eldercare, medical and psychological to wellness. Access to the EAP is provided for the employee, their dependents and members of their household. Administered by Horizon Health and Horizon Care Services.

FAMILY ADOPTION POLICY
GeoLogics offers you up to $3,000 tax-free reimbursement of qualified adoption expenses and an additional 40 hours of paid time off.

CREDIT UNION
Membership in the State Department Federal Credit Union with convenient web-based banking and insured savings plans is available to all GeoLogics employees worldwide.

To ensure exceptional service for every employee regardless of their location or time of their need, we provide a secure, interactive, self-service web portal for all of our fully and partially benefited employees and their dependents. This resource provides access to employee specific information as well as comprehensive human resource and benefit information, forms, s ummary plan descriptions. It also provides a vehicle for our employees to enroll, change, price, review their compensation and benefits, as well as update their address, etc. all of those functions most frequently required by our employees. Additionally, links are provided that allow our employees to access their 401(k) and FSA accounts in order to view their current plan activity and balances.

BENEFIT COSTS
Class 1 employees contribute approximately 10% of the cost of their individual medical, RX, dental, vision and EAP coverage and 40% of the cost of providing coverage for any eligible dependents. Employee contributions for medical, RX, dental, vision and EAP coverage are made on a pre-tax basis which results in an average savings of 25% vs. contributions made on an after tax basis. While we encourage participation in the valuable voluntary benefit plans which are available to our employees, participation in any of these plans is at the sole discretion of the employee. The cost of any voluntary benefit plan(s) in which an employee enrolls are the responsibility of the employee.

The benefits offered under the Class II Partial Benefits Plan features the same benefits as the Class I Plan, with the exception of the employees ability to participate in the Medical, Dental, Vision, EAP, and Short-Term Disability Insurance plans. The Group Life and AD&D Insurance coverage is reduced to $50,000. Employees under the Class II Plan are not eligible to participate in the Family Adoption Policy nor accrue Paid Time Off.
